Terms & Conditions

Acceptance of Terms

By accessing or using the Truvend platform, mobile applications (including the Resident and Admin apps), or website (truvend.co), you agree to be bound by these Terms and Conditions.

If you are using the Services on behalf of an organisation (such as an estate management company, developer, or landlord), you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use Truvend's Services. Continued use of the platform following any updates to these Terms constitutes your acceptance of the revised terms.

Description of Services

Truvend Technology Limited ("Truvend", "we", "us", "our") provides an internet-connected utility management platform that enables property managers, landlords, and residents in Nigeria to:

  • Purchase, install, and manage internet-powered prepaid electricity sub-meters for individual units.
  • Monitor and control water and gas meter systems remotely where supported.
  • Manage access control systems including gates, locks, and visitor entry.
  • Process utility top-up payments digitally through the Truvend mobile applications.
  • Access real-time consumption data, usage history, and administrative dashboards.
  • Automate billing, enforcement of minimum top-up thresholds, and estate-wide utility management.

Truvend is a technology platform and is not a licensed utility provider of electricity, gas, or water. Utility services remain subject to applicable regulations and agreements between you and licensed providers.

Service Availability

We aim to keep the platform available at all times but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, or events beyond our control may affect availability. Where supported, Bluetooth backup on compatible hardware may allow core operations during internet outages.

User Accounts

Registration

To access certain features of the Truvend platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify Truvend at hello@truvend.co of any unauthorised use of your account or any other security breach.

Admin accounts

Property managers and landlords using the Truvend Admin App hold additional responsibilities as account administrators. They are responsible for:

  • Accurately onboarding all units and residents to the platform.
  • Ensuring residents are informed about Truvend's role in utility management on their property.
  • Maintaining compliance with applicable tenancy laws when exercising remote meter controls, including power disconnection.

Account termination

Truvend reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or where required by applicable law.

Payment Terms

Meter purchase

Truvend prepaid sub-meters may be purchased outright or through approved instalment payment plans. All prices are quoted in Nigerian Naira (NGN) and are inclusive of applicable VAT unless otherwise stated. Hardware ownership transfers to the purchaser upon full payment of the purchase price.

Instalment plans

Where a customer purchases meters through an instalment plan, Truvend retains a security interest in the hardware until all instalments are paid in full. Terms and conditions of specific instalment plans are set out in the relevant purchase agreement.

Utility top-up payments

Payments made by residents for electricity, gas, or water top-up credits are non-refundable once processed, except in cases where a technical error by Truvend results in credits not being applied to the meter. In such cases, residents must report the issue within 48 hours of the failed transaction.

Platform fees

Truvend may charge platform service fees for use of the admin dashboard, maintenance services, or premium features. Any applicable fees will be disclosed clearly at the time of purchase or subscription. Fee changes will be communicated with a minimum of 30 days' notice.

All transactions on the Truvend platform are processed through secured, third-party payment processors. Truvend does not store full payment card details on its servers.

Acceptable Use

You agree to use Truvend's Services only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use of the Services.

You must not:

  • Tamper with, bypass, or attempt to circumvent any Truvend meter, device, or platform security measure.
  • Use the Admin App's remote power controls to harass, coerce, or unlawfully deprive residents of essential utility services.
  • Share your account credentials with unauthorised third parties.
  • Attempt to reverse-engineer, decompile, or disassemble any Truvend software or hardware.
  • Use the platform to process fraudulent payments or misrepresent consumption data.
  • Introduce malware, viruses, or other harmful code into the Truvend platform.
  • Use automated systems or bots to access the platform without Truvend's written consent.

Truvend reserves the right to investigate and take appropriate action, including account suspension and legal proceedings, against users who violate these provisions.

Hardware & Installation

Installation

Truvend meters are installed by our certified technicians or approved partners. You are responsible for ensuring that adequate access to the property is provided on the agreed installation date. Re-scheduling fees may apply for missed appointments with less than 24 hours' notice.

Hardware warranty

Truvend prepaid sub-meters are warranted against manufacturing defects for a period of twelve (12) months from the date of installation. This warranty does not cover damage resulting from misuse, tampering, acts of God, power surges not caused by Truvend, or physical damage by third parties.

Maintenance & repairs

Truvend provides remote diagnostic capabilities through the platform. Where a meter requires physical inspection or repair, the property manager must raise a support ticket via hello@truvend.co. Response times are subject to our published support SLAs.

End of service

Upon termination of your Truvend account or service agreement, you may request the removal of Truvend hardware from your property. Removal costs and terms will be confirmed by our team at the time of request.

Limitation of Liability

To the maximum extent permitted by applicable Nigerian law, Truvend shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services.
  • Loss of data, revenue, profits, or business opportunities arising from platform downtime or service interruptions.
  • Disputes between property managers and residents regarding utility charges or meter operations.
  • Damage to property or equipment arising from electrical, gas, or water infrastructure not installed by Truvend.

Where Truvend's liability cannot be excluded by law, our total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to Truvend in the three (3) months immediately preceding the claim.

Truvend provides the platform "as is" and makes no warranties — express or implied — regarding the accuracy, reliability, or fitness for a particular purpose of the Services beyond what is explicitly stated in these Terms.

Intellectual Property

All intellectual property rights in the Truvend platform, applications, software, dashboards, branding, documentation, and related materials are owned by Truvend Technology Limited or its licensors.

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable licence to use the applications for their intended purpose while your account remains active.

You may not copy, reproduce, distribute, modify, or create derivative works from any Truvend materials without prior written consent.

Governing Law

These Terms and Conditions are governed by the laws of the Federal Republic of Nigeria. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria, unless otherwise required by mandatory law.

Truvend encourages mediation as a first step in resolving disputes before formal proceedings.

Amendments to Terms

Truvend may update these Terms from time to time. Registered users will be notified of material changes through:

  • Email to the address registered on the Truvend account;
  • An in-app notification on the Truvend Admin or Resident App; and/or
  • A notice published on the Truvend website at truvend.co.

Unless required by law to take effect sooner, changes will ordinarily take effect 14 days after notification.
